Agreement on ship buying and selling consign

Leaving messages in our website about ship buying and selling is considered as a commercial behavior that consigns us (HANGZHOU FANGJIE INFORMATION INC. abbreviated as “Fangjie Info” if it is mentioned below) to process ship trading. Fangjie Info, as a professional ship agency company, focuses on assisting the deal for both buying and selling. So, the customer’s message is recognized as a sign of ship buying and selling requirement. In order to facilitate the transaction that may occur in the near future, Fangjie Info, together with the buyer’s and seller’s consigner (abbreviated as client) proposes the following terms as the guideline during the business transaction.

Terms of agreement on ship buying and selling consign

BASIC TERMS:
(1)Terms of information:Messages that client leave in bulletin board is the foundation for us to procure the business. So, the client has his/her obligation to provide us with his/her trustworthy data, and ensure the validity and security about the information like the content of the buying/selling company, the linkman’s contact, e-mail address, phone number, address ect..  Assure that we can contact the client through the information provided.  Fangjie info will not disclose under any term your information to third party.  Don’t leave information that is fatal to your company for reason of security.

(2)Terms of honesty:Requirement information, purchase demand, company name that the clients offer must be reliable, no false information. Client has his/her responsibility for the information that he/her provides. Any damage caused by false buying/selling information, Fangjie Info will not be hold legal obligations

SALSE CONSIGN:
   The qualification of sale consigner： Must be the ship owner or attorney with the ship owner’s written permission. Otherwise Fangjie Info will not accept your consign. If the ship owner is more than one company or person, the precondition is that the majority of the share-holder agree on that the sales consigner acts on their behalf.
 
   Vessel to sell: Must be normally registered through classifications with pictures of the ship, name of the vessel, particulars. Any information differs is considered as false information. The vessel must be available for inspection under request.

Commission fee: During the business transaction, Fangjie Info will assist as seller’s agent to promote.  After the deal is closed, Fangjie Info will charge commission. The rate of the commission is 2%-3% of the total amount of the transaction depending on the size of transaction. If it is through other brokers, a commission for other brokers is to be negotiated.
 
   Payment:The commission is divided and paid in two times. The payment is three business days after the seller has received the down-payment money from the buyer, the ship owner pays 1/3 (one third) of the sum of the commission due to Fangjie Info. The second payment is three days after the ship handover, this time the ship owner should pay the rest 2/3 of the commission.

Any other business:based on the selling and buying agreement。
PERCHASE CONSIGN

Qualification of buyer consigner:Company, person or buyer’s deputy with the ability to purchase vessel or other material, can provide certificate to prove his/her ability if necessary

Request of the ship buyer:Describe clearly about the technical specifications, particulars, price range of the ship that you want to purchase, If purchased ship is used for military purpose, you should provide written statement for purpose and place to deploy as well as the destination country.
   
   Commission fee: During the business transaction, Fangjie Info will assist as buyer’s agent to promote.  After the deal is closed,  Fangjie Info will charge commission. The rate of the commission is 2%-3% of the total amount of the transaction depending on the size of transaction. If it is through other brokers, a commission for other brokers is to be negotiated.

The payment is three business days after the buyer has paid in the down-payment money, the buyer pays 1/3 (one third) of the sum of the commission due to Fangjie Info. The second payment is three days after the transaction is closed, the buyer pays the rest 2/3 (two third) of the commission.

APPLIED LAWS:
   Terms of network service are governed by the laws of the People’s Republic of China.FANGJIE Information Inc. and Kinca Technology, Inc also reserve the right of immunity from any damage on a client or any other third party that might be caused by the change or cease of the service.
